Lithuanian Gas transmissions spin-off registered with Center of Registers

Amber Grid, a new company into which Lietuvos Dujos (Lithuanian Gas), the natural gas imports and supply company, is spinning off its gas transmission operations, was registered with the Center of Registers on Tuesday.

According to data made available by the center, Amber Grid has an authorized capital of 178,383 million litas (EUR 51.7m) and is headed by Saulius Bilys, the head of Strategic Development Division of Lietuvos Dujos.

Lietuvos Dujos’ shareholders approved the terms of spin-off on June 11. The assets, rights, and liabilities will be transferred to Amber Grid on July 31.

As a result, the authorized capital of Lietuvos Dujos will decrease to 290.686 million litas (EUR 84.25m), from current 469.068 million litas, and it will keep assets worth 1.182 billion litas. Amber Grid will get assets worth 1.598 billion litas.

Russia’s Gazprom currently owns 37.06 percent of shares in Lietuvos Dujos, which is quoted on the blue-chip Main List of the Vilnius Stock Exchange. Germany’s E.ON Ruhrgas International holds a 38.9-percent stake in the gas company, and the Lithuanian Energy Ministry has a 17.7-percent holding.

Amber Grid will be listed on the Exchange as well.
